3. UNDERTAKINGS OF THE CLIENT

• Provide the Provider with requested information and assistance to carry out the project.
• Grant necessary permissions on platforms such as Google Ads, Meta Ads, etc.
• Provide all required content, creatives, images, and resources.
• Promptly review creatives and provide feedback or approvals.

4. PAYMENT TERMS

• Fees will be outlined in the proposal or contract.
• A deposit may be required before project commencement.
• Invoices must be paid within 7–15 days.
• Late payments may result in service suspension or termination.
• All fees exclude applicable taxes unless stated otherwise.

5. UNDERTAKINGS OF THE PROVIDER

• Provider has over 10 years of experience and will use it to deliver optimal results.
• Handle all paid advertisements and SEO-related services as confirmed by the client.
• Submit campaign and action plans for client approval.
• Support through mutually agreed-upon media channels.
• Maintain confidentiality of client credentials.
• Return hosting/server access upon project completion and full payment.
• Meet client as required for reviews or suggestions.
• Results are not guaranteed despite best efforts.

6. CONFIDENTIALITY & NON-DISCLOSURE

The provider will not disclose confidential information about the client’s business to external parties. Only staff involved in the digital marketing activities will access such information on a need-to-know basis.

7. LIABILITY

Each party is liable for their obligations under this agreement. The Provider is not liable for indirect or consequential losses. The Client indemnifies the Provider from third-party claims. The Provider is not responsible for errors in client-provided data or instructions.

8. RENEWAL & TERMINATION

• Contract renewal is possible by mutual agreement.
• The Client can terminate the agreement with 15 days' written notice and explanation.
• The Provider can terminate with 30 days' written notice and explanation.
